AiperPoints Rewards Program Terms and Conditions

Welcome to the AiperPoints Rewards Program (Program). By participating in this Program, you agree to the Program Terms and Conditions (Program Terms), which for a binding part of the Aiper Terms of Service (the Terms of Service)found on our websitelocated at: https://aiper.com (the Website), and any associated websites, mobile sites, applications, products, software and other services or materials (collectively, the Services). These Program Terms constitute a binding agreement between you, as a participant in the Program, and Aiper Global PTE. Ltd.and its affiliates and/or subsidiaries (collectively, Aiper). These Program Terms shall supplement the Terms of Service and are incorporated into those terms by reference. In the event of any conflict or inconsistency between these Program Terms and the Terms of Service, the provisions of these Program Terms shall govern and prevail.

IF YOU DO NOT AGREE TO BE BOUND BY THESE PROGRAM TERMS, YOU MAY NOT PARTICIPATE IN THE PROGRAM.

PLEASE BE AWARE THAT BY PARTICIPATING IN THE PROGRAM, YOU AND AIPER AGREE TO RESOLVE DISPUTES THAT ARISE BETWEEN US, INCLUDING ANY DISPUTES RELATED TO THE PROGRAM AND ANY DISPUTES THAT AROSE OR WERE ASSERTED PRIOR TO THE EFFECTIVE DATE OF THESE PROGRAM TERMS, THROUGH BINDING AND FINAL ARBITRATION, PURSUANT TO THE ARBITRATION AGREEMENT CONTAINED IN SECTION 23 (GOVERNING LAW AND DISPUTE RESOLUTION) OF THE AIPER TERMS OF SERVICE. UNLESS YOU OPT OUT OF THE ARBITRATION AGREEMENT: (1) YOU MAY NOT BE A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION OR PROCEEDING AND (2) YOU ARE WAIVING YOUR RIGHT TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL.

If you are residing in the EU, the above clauses on governing law and dispute resolution shall not apply to you. Instead, the following clauses on governing law and arbitration shall apply:

These Program Terms shall be governed by and construed in accordance with the laws of Georgia, United States. For EU residents, the law of your place of residence shall apply to the extent that the mandatory law of your place of residence is more favourable than the laws of Germany.

You submit to binding arbitration pursuant to the Arbitration Agreement in Section23 of the Aiper Terms of Service, unless under local laws of an EU Member State such arbitration agreement would be unenforceable.

1. Program Overview

The Program allows eligible customers to earn points (AiperPoints) when participating in certain promotional activities through the official Aiper Website or Services, collectively referred to as the Aiper Store. AiperPoints can be redeemed for exclusive discounts, rewards, and selected products (collectively as Offers) within the terms and restrictions that are indicated by Aiper when disseminating these offers to you.

2. ELIGIBILITY & REGISTRATION

You must register to participate in the Program. By participating in the Program, you represent that you are (i) at least eighteen (18) years old; (ii) of legal age to form a binding contract under the laws of the United States, your place of residence or any other applicable jurisdiction; and (iii) not a person barred from participating in the Program under the laws of the United States, your place of residence or any other applicable jurisdiction.

When you register, you agree to (a) provide true, accurate, current and complete information about yourself (the Registration Data); and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. You are responsible for all activities that occur under your account. If you provide any Registration Data that is untrue, inaccurate, not current or incomplete, or Aiper has reasonable grounds to suspect that any Registration Data you provide is untrue, inaccurate, not current or incomplete, Aiper has the right to suspend or terminate your registration and cancel or reclaim any accrued AiperPoints. You agree not to create an account using a false identity or information. You agree not to create an account or participate in the Program if you have been previously removed or banned by Aiper. Aiper reserves the right to disqualify any person whose participation in the Program and/or use of AiperPoints is determined by Aiper, in Aipers sole discretion, to violate applicable laws or regulations, constitute fraud, or fail to comply with these Program Terms or the Terms of Service.

Each registered participant may only have one AiperPoints account. Duplicate accounts may be deactivated, and points forfeited.

3. AIPERPOINTS

The collection, redemption and use of AiperPoints are subject to the below requirements. You can refer to Program Page for further information about AiperPoints and redemption.

4. Tax

Any tax liability connected with receipt or use of any offers or AiperPoints or any other benefit in the Program is the participants responsibility.

5. Personal Data Protection

All Personal Data relating to the participation of participants in the Program will be processed and used for the purposes of serving Program implementation, in accordance with Aiper Privacy Notice.

6. Program Changes and Termination

Aiper reserves the right to modify, suspend, or terminate the Program at any time with or without prior notice. Any changes shall be deemed effective immediately upon posting of the modified Program Terms. Participants should regularly review these Program Terms to ensure that they are aware of, understand and accept any changes made. A participants continued participation following the posting of changes to these Program Terms will indicate your acceptance those changes.

Participants may terminate their registration at any time by sending termination request togetherto Aiper Customer Service at https://aiper.com/contact-us. Aiper may request information to confirm your identity prior to termination.

Termination by Aiper: If the Program is discontinued, any unused AiperPoints will expire 60 daysafterthe termination date. You will not be entitled to any compensation as a result of any amendment, suspension or termination of the Program.

Notice:While Aiper will attempt to provide advance notice of significant changes, this is not guaranteed.

7. Fraud and Abuse Prevention

Any fraudulent or abusive use by any member of the Program or any third party acting on behalf of a member, may automatically result in cancellation of the AiperPoints, offers or any similar benefits without compensation of any kind.

8. Warranty, Release and Limitation of Liability

By participating in the Program, you warrant and represent that all information you provide to Aiper (or any agent acting on Aipers behalf) is true and accurate and that no information is false, fraudulent, in accurate, forged, counterfeit or otherwise in violation of these Program Terms or any law.

By participating in the Program, you agree to release and hold harmless Aiper and its parents, subsidiaries, affiliates, officers, directors, employees, and agents from and against any and all liability, loss, or damages arising out of or in connection with the participation in the Program and the awarding and use of any AiperPoints. Aiper assumes no responsibility for any error, omission, interruption, deletion, defect or delay in operation or transmission; communications line failure, theft or destruction of or unauthorized access to the Program, any web site or account.

Program Availability: Aiper does not guarantee the ongoing availability of any particular AiperPoints, offer or promotion.

Liability Cap: Aipers maximum liability in connection with the Program will not exceed the value of unredeemed AiperPoints in your account.

If you are residing in the EU, the above clauses on release (Section 8 para 2) and limitation of liability (Section 8 para 3) shall not apply to you. Instead, the following clause on release and limitation of liability shall apply:

Aiper is liable without limitation if damage is caused by an intentional or gross negligent breach of duty by Aiper or one of its legal representatives or vicarious agents.

In addition, Aiper is liable for slight negligent breach of essential obligations. Essential are those obligations the breach of which puts at risk the achievement of the contractual purpose, or the performance of which enables the fulfilment of the contract and is regularly trusted on by you.

In case of slight negligent breach of essential obligations, Aiper however is only liable for foreseeable damage typical of the contract. Aiper is not liable for slight negligent breach of any other obligations than essential obligations.

The aforementioned limitations of liability do not apply for damages from injury to life, body or health, for a defect after a guarantee for the condition of the product or for fraudulently concealed defects. The liability under the national provisions on product liability remains unaffected.

To the extent the liability of Aiper is excluded or limited, such exclusion or limitation also applies to the employees, legal representatives or vicarious agents of Aiper.

To the extent you are liable to Aiper, you are obliged to release and hold harmless Aiper.

THE PROGRAM, INCLUDING ACCOUNTS, AIPERPOINTS AND PROGRAM RELATED WEBPAGES, ARE OFFERED ON AN AS IS AND AS AVAILABLE BASIS. AIPER MAKES NO WARRANTY WITH REGARD TO THE PROGRAM, INCLUDING ACCOUNTS, AIPERPOINTS AND PROGRAM RELATED WEBPAGES; OR THAT THE PROGRAM, INCLUDING ACCOUNTS, AIPERPOINTS AND PROGRAM RELATED WEBPAGES, WILL MEET PARTICIPANTS REQUIREMENTS, BE ACCURATE OR ERROR FREE, OR THAT ACCESS WILL BE TIMELY OR UNINTERRUPTED. AIPER RESERVES THE RIGHT OF FINAL INTERPRETATION OF THESE PROGRAM TERMS.
